Terms of service

These terms set out the rules for using OpenTend, how billing works, and what each of us is responsible for. Please read them before you create an account.

Last updated 3 October 2026

1.About these terms

These terms are an agreement between RWDev LTD (“we”, “us”), a company registered in England and Wales (company number 16395122), and the business that uses OpenTend (“you”). They apply to the OpenTend website and app (the “service”).

By creating an account or using the service, you accept these terms. If you accept them on behalf of a company or other organisation, you confirm that you have authority to bind it.

2.Business use only

OpenTend is provided for business use. You confirm that you are using it for purposes relating to your trade, business or profession and not as a consumer. You must be at least 18 to use the service.

3.Accounts and workspaces

Each account belongs to a workspace, which represents your business. You are responsible for the people you invite to your workspace and for everything done through it.

  • Keep your sign-in details secure and do not share accounts between people.
  • Give accurate information and keep it up to date.
  • Tell us promptly at [email protected] if you think someone has accessed your account without permission.

4.Plans, prices and payment

The current plans and prices are shown on our pricing page. At the date of these terms:

  • Basic is free.
  • Pro is £5.99 per month.
  • Team is £29.99 per month for up to 4 people, then £7.99 per month for each extra seat, up to 20 seats.
  • Enterprise is available by arrangement on terms we agree with you in writing.

Prices include VAT. Payments are handled by Stripe. Paid plans are monthly subscriptions that renew automatically each month, and you authorise us to charge your payment method on each renewal until you cancel.

Changing your plan

  • When you upgrade or add seats, the change applies straight away and we charge the prorated difference for the rest of the current month immediately.
  • When you remove seats, the change takes effect immediately and no credit is given for the rest of the month.

Cancelling

You can cancel at any time from Plans & billing in the app. Your paid features continue until the end of the period you have paid for, and the subscription then ends. Except where the law requires otherwise, we do not give refunds for partial months.

Price changes

We may change our prices. We will give you at least 30 days’ notice before a change affects your subscription, and you can cancel before it takes effect.

Usage limits

Plans include limits, for example on saved items, the monthly AI allowance and document storage. These are described on the pricing page and in the app.

5.Acceptable use

You must not, and must not let anyone else:

  • use the service for anything unlawful, fraudulent or harmful;
  • use contact details from the service to send unsolicited marketing in breach of the Privacy and Electronic Communications Regulations or data protection law;
  • upload malware, or content that is unlawful, infringing, defamatory or offensive;
  • try to gain unauthorised access to the service, other workspaces or our systems, or test their security without our written permission;
  • scrape, bulk download, resell or redistribute the service or its data, or use it to build a competing product;
  • interfere with the service or place an unreasonable load on it, including by automated means;
  • misuse cohorts or the partner finder, for example to harass other firms or misrepresent your business.

You are responsible for having a lawful basis to store and use any personal data you add to the service, such as contact details of people at buyers or partners.

6.Your content

You keep ownership of everything you put into OpenTend, including your company profile, notes, answers, messages and documents (“your content”).

You give us a non-exclusive, worldwide, royalty-free licence to host, store, copy, process and display your content only as needed to provide and improve the service for you, including sending it to our service providers (such as our AI provider) to deliver the features you use.

When you share content in a cohort or publish a partner listing, you allow the other firms who can see it to view and use it for the purpose of that bid or partnership. You confirm that you have the rights to everything you upload or share.

Our privacy notice explains how we handle personal data.

7.Our service and intellectual property

We and our licensors own the service, including its software, design and branding. We give you a non-exclusive, non-transferable right to use the service for your internal business purposes while these terms apply. If you send us feedback or suggestions, we may use them freely.

8.Tender data

The tenders in OpenTend are collected from public sources: Find a Tender, Contracts Finder, Public Contracts Scotland and Sell2Wales, which publish them under the Open Government Licence. We combine, de-duplicate and reformat this data.

We cannot guarantee that tender data is complete, accurate or up to date. Sources can be delayed, unavailable or wrong, and notices change after publication. Always check the details, documents and deadlines on the original notice and with the buyer before you rely on them or submit a bid.

9.AI features

Some features use AI to summarise tenders, assess fit, answer questions, draft emails and suggest matches. AI output is generated automatically and may be incomplete, out of date or wrong.

  • AI output is not legal, procurement, financial or professional advice.
  • You are responsible for checking AI output before you use it, and for your decisions to bid or not to bid.
  • You are solely responsible for the content, accuracy and submission of your bids.

10.Availability and changes

We work to keep OpenTend available and reliable, but we do not promise that it will be uninterrupted or free of errors. We may need to suspend it for maintenance, security or reasons outside our control. We may change, add or remove features over time. If we remove a significant feature from a paid plan, we will tell you in advance.

11.Suspension and termination

You can stop using OpenTend and cancel any subscription at any time.

We may suspend or close your account or workspace if you seriously or repeatedly break these terms, if you do not pay what you owe, or if we need to in order to comply with the law or protect the service or other users. Where reasonable, we will warn you first and give you a chance to put things right. We may also end the service for everyone on at least 30 days’ notice.

When your account or workspace ends, your right to use the service stops and we will delete your content as described in our privacy notice. Sections of these terms that are meant to continue, such as those on liability, keep applying.

12.Limitation of liability

Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded under English law.

Subject to that:

  • we are not liable for any loss of profit, revenue, contracts or business opportunity (including any tender you did not win, missed or did not bid for), loss of goodwill, loss or corruption of data, or any indirect or consequential loss;
  • our total liability to you under or in connection with these terms, whether in contract, tort (including negligence) or otherwise, is limited to the total fees you paid us in the 12 months before the event that gave rise to the claim;
  • the service is provided “as is”, and we exclude all terms implied by law to the extent the law allows.

13.General

  • Changes to these terms: we may update these terms. We will tell you about significant changes in advance, and continuing to use the service after they take effect means you accept them.
  • Transfer: you may not transfer your rights under these terms without our consent. We may transfer ours as part of a sale or reorganisation of our business.
  • Events outside our control: we are not responsible for delays or failures caused by events beyond our reasonable control.
  • Whole agreement: these terms, together with any order or written agreement for an Enterprise plan, are the whole agreement between us about the service.
  • Severability: if any part of these terms is found to be unenforceable, the rest stays in effect.
  • No waiver: if we delay enforcing these terms, we can still enforce them later.
  • Third parties: no one other than you and us has any right to enforce these terms.

14.Governing law and contact

These terms and any dispute arising from them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.

If you have a question or complaint, email us at [email protected]. We will try to resolve it informally first.
